1. Account Registration and Security

To access certain features of our software or apps (such as booking a technician on HomeGarage), you may be required to create a user account.

• Accuracy: You agree to provide accurate, current, and complete information during the registration process and to keep it updated.
• Security: You are entirely responsible for safeguarding your account password and for any activities or actions under your account. You must notify us immediately at security@bsquaretech.com of any unauthorized use of your account.
• Eligibility: You must be at least 13 years of age (or the age of legal majority in your jurisdiction) to create an account and utilize on-demand marketplace services.

2. Use of Services & Prohibited Conduct

BSquareTech grants you a limited, non-exclusive, non-transferable, revocable license to use our software and applications strictly in accordance with these Terms. You agree not to:

• Use the Services for any illegal purpose or in violation of any local, state, national, or international law.
• Modify, adapt, hack, reverse engineer, or decompile any portion of our software, code, or applications.
• Interfere with or disrupt the integrity, security, or performance of our digital infrastructure.
• Misuse our on-demand platforms (e.g., creating fraudulent bookings or harassing independent service technicians dispatched via HomeGarage).

3. Marketplace Services (e.g., HomeGarage App)

For applications within our ecosystem that connect you with local, real-time, or physical service providers:

• Platform Role: HomeGarage is a digital platform that connects users with automotive service professionals and garages. While we thoroughly vet our service network, BSquareTech acts as the platform facilitator, and specific garage services are performed by designated technicians.
• Cancellations & Fees: All bookings, cancellations, and associated dispatch fees are explicitly subject to our Universal Refund & Cancellation Policy published on our main site.
• User Responsibility: You must ensure the vehicle is in a safe, accessible location and that the details provided (make, model, location) are accurate at the time of booking.

4. Fees, Billing, and Subscriptions

• Pricing: Prices for software subscriptions, licenses, and app-based on-demand services are displayed clearly within the respective platform. We reserve the right to adjust pricing with reasonable prior notice.
• Recurring Billing: SaaS and digital subscription products are billed on a recurring basis (monthly or annually). You authorize BSquareTech to charge your linked payment instrument automatically on each billing cycle until you cancel.
• Taxes: All fees are exclusive of applicable taxes unless stated otherwise, and you are responsible for paying any statutory taxes associated with your transactions.

5. Intellectual Property Rights

All intellectual property rights in the Services—including software code, user interfaces, logos, designs, text, graphics, and trademarks belonging to BSquareTech and its sub-brands (like HomeGarage)—are and will remain the exclusive property of BSquareTech and its licensors. You may not use our branding, trademarks, or proprietary layouts without our express written consent.

6. Limitation of Liability & Disclaimers

• "As-Is" Basis: Our digital services and software are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
• Limitation of Liability: To the maximum extent permitted by applicable law, BSquareTech, its subsidiaries, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, loss of profits, loss of data, or vehicular/property damage arising out of your use of, or inability to use, our software or app-based service connections.

7. Indemnification

You agree to indemnify, defend, and hold harmless BSquareTech, its parent organization, affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected to your violation of these Terms, misuse of our platforms, or infringement of any third-party rights.

8. Termination of Service

We reserve the right to suspend, deactivate, or terminate your access to any BSquareTech application or corporate software account at our sole discretion, without prior notice, if we determine you have breached these Terms or engaged in behavior harmful to our platform, users, or service personnel.

9. Changes to These Terms

BSquareTech reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 15 days' notice via an in-app alert, email, or a prominent notice on our website prior to the new terms taking effect. Your continued use of the platforms after updates are published constitutes acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where BSquareTech is legally incorporated, without regard to its conflict of law provisions.
